1. Acceptance of Terms

By accessing or using the services of Baynex Consultancy ("Baynex", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services or website.

These terms apply to all visitors, users, and clients of Baynex Consultancy, registered at Meydan Grandstand, Meydan Road, Nad Al Sheba 1, Dubai, United Arab Emirates.

2. Services

Baynex provides business consultancy services including but not limited to: business setup and company formation, accounting and bookkeeping, tax consultancy, digital marketing, public relations, and IT services in the UAE.

All services are subject to a separate written engagement agreement or retainer contract. The scope, fees, and deliverables of each engagement will be defined in that agreement. These Terms operate alongside, and do not replace, any such agreement.

3. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information required to deliver services.
• Notify Baynex promptly of any changes in their business, structure, or circumstances relevant to the services.
• Pay all agreed fees on time as set out in the engagement agreement.
• Not engage Baynex for any illegal, fraudulent, or non-compliant purposes.

4. Fees and Payment

Fees are agreed in writing prior to commencement of services. Unless otherwise stated, invoices are payable within 7 days of issuance. Baynex reserves the right to suspend services in cases of non-payment.

Government fees, filing fees, and third-party costs are not included in Baynex service fees unless explicitly stated. All prices are in UAE Dirhams (AED) unless otherwise agreed.

5. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information received in the course of the engagement. Baynex will not disclose client information to third parties except as required by UAE law or regulation, or with the express written consent of the client.

6. Limitation of Liability

Baynex will perform all services with reasonable skill and care. However, Baynex's total liability to any client shall not exceed the total fees paid by the client in the three months preceding the event giving rise to the claim.

Baynex is not liable for any indirect, incidental, or consequential losses. We are not responsible for any losses arising from inaccurate or incomplete information provided by the client.

7. Intellectual Property

All content on baynex.ae, including text, graphics, logos, and materials, is the property of Baynex Consultancy. You may not reproduce, distribute, or use any content without express written permission from Baynex.

8. Termination

Either party may terminate an engagement with 30 days' written notice unless otherwise agreed in the engagement letter. Immediate termination may occur in cases of material breach, non-payment, or conduct that brings Baynex into disrepute.

9. Governing Law

These Terms and Conditions are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
